Terms and Conditions

Article 1. Purpose

These Terms of Service (“Terms”) are intended to define the rights, obligations, and responsibilities of TalentSeeker Co., Ltd. (the “Company”) and its members (“Members”) regarding the use of the TalentSeeker service and related services (the “Service”) provided by the Company.

Article 2. Definitions

1.
TalentSeeker Service: Refers to the AI-driven talent recommendation, integrated data management, automated communication, and HR marketplace functions provided by the Company as part of its recruitment management platform.
2.
Member: An entity that registers for the Service, agrees to these Terms, and uses the Service provided by the Company.
3.
Free Trial: A service that allows Members to experience paid services for a limited period without charge before committing to a paid plan.
4.
Paid Service: Services provided by the Company that require payment for access and use.
5.
Workspace: Refers to the recruitment and talent data management system provided through the agreement between the Company and the Member.

Article 3. Display and Amendment of Terms

1.
The Company shall make these Terms easily accessible to Members through the initial service screen or other methods.
2.
The Company may amend these Terms within the scope not violating relevant laws and will notify Members of changes at least 7 days prior to implementation, stating the effective date and reasons for amendment.
3.
Members have the right to reject amended Terms. If a Member objects, they may discontinue the Service and withdraw from membership.

Article 4. Provision and Interruption of Service

1.
The Company provides the following services:
AI-driven talent recommendation
Integrated data management
Automated communication tools
HR marketplace services
1.
The Company may temporarily suspend all or part of the Service due to server maintenance, replacement, or failures, providing prior notice to Members when possible.

Article 5. Member Responsibilities

1.
Members must comply with applicable laws, these Terms, and service guidelines while using the Service.
2.
Members shall not disclose or use other users' personal information obtained during service use for any purpose without consent.

Article 6. Personal Information Protection

1.
The Company strives to protect Members' personal information in accordance with the Personal Information Protection Act and provides detailed policies through its Privacy Policy.
2.
The Company is not liable for personal information leaks caused by a Member's negligence.

Article 7. Good Faith and Mutual Cooperation

Both the “Provider” and the “User” shall act in good faith to comply with all provisions of this contract. The “Provider” shall actively cooperate with the “User” upon request regarding the use of the Service, and the “User” shall also cooperate with the “Provider” as needed.

Article 8. Provider's Obligations

1.
The “Provider” shall ensure that the “User” can access the Service on the agreed start date, barring special circumstances.
2.
The “Provider” is obligated to provide continuous and stable service as stipulated in the contract.

Article 9. User's Obligations

1.
The “User” shall not:
Allow third parties to use the Service
Create a separate database using candidate information (including contact details) obtained through the Service
Engage in any activities that violate applicable laws

Article 10. Prohibition of Assignment and Change

1.
Neither party may assign, transfer, or provide as collateral any rights or obligations acquired under this contract to a third party without the other's consent.

Article 11. Warranties and Limitation of Liability

1.
The responsibility for the maintenance of the program and all related databases lies with the “Provider.”
2.
The “Provider” is not liable for program issues arising from the “User” not following the provided usage guidelines or recommended practices.

Article 12. Disclaimer of Liability

1.
If performance of this contract becomes impossible due to force majeure (e.g., war, riot, natural disaster, legal orders from the government), the parties shall be exempt from responsibility.

Article 13. Refund Policy

1.
Members may request refunds in accordance with the Company's refund policy and procedures.
2.
Refunds will be processed as follows:
Monthly Plan: Refunds are calculated based on the remaining days of the service, excluding days used, and applying a prorated formula including card fees and penalties.
Annual Plan: Refunds are based on a 12-month period, subtracting any months used (even partially) from the total annual payment.

Article 14. Compensation for Damages

1.
If either party fails to fulfill contractual obligations or violates this contract, they shall compensate the other party for any resulting damages.

Article 15. Contract Modification

1.
The “Provider” and “User” may modify the contract contents through a written agreement.

Article 16. Miscellaneous

1.
Any matters not specified in this contract shall be determined through mutual agreement in good faith, in accordance with relevant laws and customary practices.

Article 17. Governing Law and Jurisdiction

1.
These Terms are governed by the laws of the Republic of Korea. Any disputes arising between the Company and Members shall be submitted to the exclusive jurisdiction of the courts at the Company's headquarters.
